Terms of Service

Scope of services

We provide professional services to businesses. The specific scope, deliverables, timelines, fees, and assumptions for each engagement are defined in an order form, proposal, or statement of work (collectively "SOW"). In case of conflict, a signed SOW prevails over these online Terms.

Client responsibilities

• Provide timely information, decisions, and access required for delivery.
• Ensure provided materials and data are accurate and you have rights to share them.
• Maintain your own backups and security controls for your systems and data.

Fees and payment

Fees and payment terms are specified in the SOW or invoice. Unless stated otherwise, invoices are due upon receipt and payable in the currency stated. Late payments may accrue interest as permitted by law. You are responsible for applicable taxes.

Intellectual property

Unless agreed otherwise in a signed SOW, we grant you a worldwide, non-exclusive, non-transferable license to use deliverables we create for you for your internal business purposes. Pre-existing IP, know-how, templates, and tools developed by or licensed to Labsski remain our property or that of the original owner.

If we make any products available (software or otherwise), those may be subject to separate terms and privacy notices.

Confidentiality

Each party will protect the other party’s confidential information and only use it to perform obligations under the engagement. This obligation does not apply to information that is publicly available, already known, independently developed, or rightfully obtained from a third party without confidentiality obligations.

Acceptable use

You will not use the Services to violate laws, infringe third-party rights, or introduce malware or security risks. You are responsible for your systems and credentials.

Warranties and disclaimers

We provide the Services with reasonable skill and care consistent with industry standards. Except as expressly stated in a signed SOW, the Services and site are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee specific outcomes (e.g., certification issuance by third parties, uninterrupted operation of your systems, or freedom from vulnerabilities). Compliance responsibilities ultimately rest with you as the merchant or controller of your systems.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, nor lost profits, revenues, or data, arising out of or related to the Services or these Terms, even if advised of the possibility. Our total aggregate liability for any claim is limited to the amounts paid by you to us for the Services giving rise to the claim in the 6 months preceding the event.

Indemnity

You will defend and indemnify Labsski against third-party claims arising from your use of the Services in violation of these Terms or applicable law, or from materials you provide that infringe rights or violate law.

Term and termination

Either party may terminate an engagement as specified in the SOW or applicable agreement. Upon termination, you will pay for Services performed and expenses incurred through the effective termination date.

Changes to these Terms

We may update these Terms from time to time. If changes are material, we will update the effective date above. Continued use of the site or Services after changes become effective constitutes acceptance.
